Ambassador Terms of Use

1. Important Program Summary

The ZYNDIO Ambassador Network is an application-only ambassador program. Approval is not guaranteed. Participation is subject to compliance review, good-standing requirements, geographic availability, program limits, and the Ambassador Agreement issued at approval.

ZYNDIO Momentum Rewards™ is the umbrella name for ZYNDIO's ambassador compensation and bonus ecosystem. It may include eligible direct commissions, second-tier commissions, leaderboard bonuses, Pulse Pool™ opportunities, weekly challenge bonuses, Catalyst Rewards™, Legacy Track™ qualification, and Legacy Reserve™ rewards.

The program is intended to remain a simple two-tier ambassador structure. ZYNDIO may pay compensation on eligible direct customer activity and one additional eligible second-tier activity level, as described in the applicable Ambassador Agreement and compensation schedule. ZYNDIO does not authorize ambassadors to represent the program as a deep downline, matrix, binary, forced matrix, unilevel, investment program, security, franchise, employment opportunity, pension, annuity, or retirement plan.

No earnings are guaranteed. Commission rates, pool sizes, payout rules, qualification rules, territory rules, customer attribution, and compensation schedules are program parameters, not earnings projections. Results vary, expenses vary, and many participants in ambassador, affiliate, direct-sales, or two-tier programs may earn little or no income and may lose money after expenses.

2. Definitions

For purposes of these Terms:

“Ambassador” means an individual or business entity approved by ZYNDIO to participate in the ambassador program under an Ambassador Agreement.

“Ambassador Agreement” means the binding agreement issued to an approved ambassador, including any compensation schedule, dashboard terms, official promotion rules, compliance addendum, or supplemental document incorporated into it.

“ZYNDIO Momentum Rewards™” means the umbrella ambassador compensation and bonus ecosystem offered by ZYNDIO, as updated from time to time.

“Eligible Revenue” means revenue that ZYNDIO designates as commissionable under the applicable Ambassador Agreement, compensation schedule, dashboard rules, and compliance requirements. Eligible Revenue may exclude taxes, refunds, chargebacks, discounts, fraud, returned amounts, shipping, processing fees, non-commissionable revenue, federally reimbursable healthcare-program revenue, or any revenue that ZYNDIO determines cannot lawfully or compliantly be used to calculate ambassador compensation.

“Commissionable Event” means an event that ZYNDIO determines qualifies for commission or bonus treatment under the applicable program rules.

“Tier One” means eligible direct activity attributed to an ambassador through approved tracking methods.

“Tier Two” means eligible second-tier activity attributed through approved tracking methods and recognized under the applicable Ambassador Agreement. No ambassador is entitled to compensation beyond the second tier unless ZYNDIO expressly states otherwise in a written agreement reviewed and approved for compliance.

“Bonus Pool” means a funded or unfunded reward category that ZYNDIO may use to pay variable bonuses under ZYNDIO Momentum Rewards™. Bonus Pools may be capped, prorated, changed, paused, or discontinued.

“Pulse Pool™” means ZYNDIO's branded activity-based reward pool or promotion, as described in official Pulse Pool™ rules, dashboard rules, or supplemental notices.

“Catalyst Rewards™” means ZYNDIO's branded contribution and verified-lift reward layer, intended to recognize qualifying ambassador actions, insights, content curation, territory improvements, conversion improvements, or other verified contributions that ZYNDIO determines created measurable value for the ZYNDIO network.

“Catalyst Event™” means a program-recognized action, improvement, recommendation, insight, local signal, content update, funnel suggestion, conversion improvement, or other event that ZYNDIO determines may be eligible for Catalyst Rewards™ treatment.

“Legacy Track™” means ZYNDIO's five-year long-game reward path for qualified ambassadors who meet program-defined requirements over time.

“Legacy Status™” means a program status that may be unlocked by qualified ambassadors who satisfy the applicable Legacy Track™ requirements. Legacy Status™ does not guarantee any payment.

“Legacy Reserve™” means a company-controlled, variable, reserve-style reward layer that may be used to make discretionary or formula-based long-term rewards to qualified Legacy Status™ ambassadors, subject to the official program terms.

“Territory” means a program-defined geographic, zip-code, keyword, vertical, audience, or other designation that ZYNDIO may assign, license, modify, limit, or revoke under the Ambassador Agreement. A Territory is not real property, a franchise, an ownership interest, a security, or a guarantee of traffic, customers, or revenue.

“AdMesh™” means ZYNDIO's internal advertising, placement, tracking, and content-distribution system, as it may exist or evolve over time.

“PHI” means protected health information as defined by applicable healthcare privacy laws and ZYNDIO's HIPAA Notice.

3. Eligibility and Account Access

You must be at least 18 years old, or the age of majority in your jurisdiction if older, to use the site, submit an application, request a sign-in link, access the dashboard, or participate as an ambassador.

Ambassador participation is application-only. Submitting an application does not entitle you to approval, access, a referral link, a territory, commissions, bonus eligibility, or continued participation. ZYNDIO may approve, decline, restrict, suspend, or revoke ambassador status at its discretion, including for compliance posture, audience fit, geography, prior promotional conduct, legal risk, fraud risk, healthcare-compliance risk, or any other reasonable business or compliance reason.

You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining control of the email account, sign-in credentials, payment information, tax information, and other access methods associated with your account.

You may not transfer your ambassador account, referral link, dashboard access, territory, Legacy Status™, bonus eligibility, or payment rights without ZYNDIO's prior written approval.

4. Independent Contractor Status

Ambassadors are independent contractors. Nothing in these Terms, the Ambassador Agreement, the dashboard, ZYNDIO Momentum Rewards™, or any ZYNDIO communication creates an employment relationship, partnership, joint venture, franchise relationship, agency relationship, fiduciary relationship, healthcare-provider relationship, securities relationship, retirement-plan relationship, or authority to bind ZYNDIO.

You may not represent that you are an employee, officer, agent, clinician, provider, prescriber, customer-service representative, compliance officer, medical advisor, or authorized spokesperson of ZYNDIO unless ZYNDIO gives you written authorization for a specific purpose.

You are responsible for your own business expenses, equipment, taxes, insurance, licenses, permits, records, and compliance with applicable laws. ZYNDIO does not provide employee benefits, unemployment insurance, workers' compensation, retirement benefits, pension benefits, health benefits, or other employment-related benefits to ambassadors.

5. No Medical Advice, No Clinical Workflow, No Patient Support Role

The ZYNDIO Ambassador Network site is not a patient portal, healthcare portal, pharmacy portal, medical records portal, clinical decision tool, prescription workflow, diagnosis workflow, or medical-support channel.

Ambassadors do not provide medical advice, diagnose conditions, prescribe medication, recommend a specific medical treatment, dispense products, determine medical necessity, verify patient eligibility, provide patient support, handle clinical communications, or interfere with any clinician-patient relationship.

Any patient-facing telehealth services, clinical evaluations, prescriptions, pharmacy fulfillment, medical records, patient communications, and healthcare workflows are handled separately by ZYNDIO, its affiliated or contracted entities, licensed healthcare professionals, pharmacies, or other authorized service providers, as applicable.

Ambassadors may only use ZYNDIO-approved educational and promotional materials. Ambassadors may not paraphrase medical claims, create new medical claims, promise results, diagnose audience members, instruct a person to request a specific medication, or suggest that purchase or signup guarantees access to a medication, prescription, provider approval, clinical outcome, or health result.

6. HIPAA, PHI, and Sensitive Information

Ambassadors must not request, collect, receive, store, transmit, post, process, or use PHI or sensitive health information through ambassador channels, social media, messages, comments, forms, emails, spreadsheets, automations, AI tools, or third-party software.

If a prospective customer, patient, or other person voluntarily shares medical information with you, you must not respond with medical advice. You must direct the person to the appropriate ZYNDIO patient-facing channel or licensed provider workflow, and you must not copy, store, forward, screenshot, upload, or use that information for marketing, commission, or ambassador purposes.

You must immediately notify ZYNDIO if you believe you received PHI, exposed PHI, mishandled PHI, used an unapproved tool that may contain PHI, or otherwise created a privacy or security risk.

Ambassadors must not use customer names, patient stories, screenshots, test results, before-and-after materials, prescription details, medical conditions, treatment responses, or other health-related personal information in marketing unless ZYNDIO gives written approval and all legally required authorizations and disclosures are in place.

7. Ambassador Application and Approval

Submitting an application authorizes ZYNDIO to review your audience, channels, content, prior promotional activity, compliance posture, identity information, tax information, payment information, business entity information, and other information reasonably relevant to evaluating ambassador fit.

On approval, ZYNDIO may issue an Ambassador Agreement, referral link, dashboard access, territory access, brand assets, training materials, and other program tools. Approval may be conditional and may require completion of training, acceptance of supplemental terms, identity verification, tax documentation, compliance certifications, or other onboarding requirements.

ZYNDIO may re-evaluate ambassador approval at any time. Continued access is not guaranteed.

8. ZYNDIO Momentum Rewards™ Overview

ZYNDIO Momentum Rewards™ is the umbrella name for ZYNDIO's ambassador compensation and reward ecosystem. It is intended to give approved ambassadors multiple ways to qualify for rewards while keeping the program simple, compliance-first, and limited to the two-tier structure described in the Ambassador Agreement.

Depending on your approval status, program level, good-standing status, jurisdiction, dashboard rules, and current compensation schedule, ZYNDIO Momentum Rewards™ may include:

• Tier One direct commissions;
• Tier Two commissions;
• Leaderboard Pool rewards;
• Pulse Pool™ opportunities;
• Weekly Challenge Pool rewards;
• Catalyst Rewards™;
• Legacy Track™ qualification;
• Legacy Reserve™ reward eligibility; and
• other temporary or permanent reward categories that ZYNDIO may publish.

ZYNDIO may add, remove, rename, combine, split, pause, cap, or modify any reward category. ZYNDIO may also apply payout caps, margin floors, pool-size limits, reserve requirements, compliance filters, fraud filters, good-standing requirements, qualification requirements, or pro-rata adjustments.

No reward category is guaranteed. No published pool size, percentage, rate, example, leaderboard, dashboard estimate, calculator, or projection guarantees that any ambassador will earn any amount.

9. Core Commissions and Two-Tier Structure

The core ambassador compensation structure may include Tier One direct commissions and Tier Two commissions on Eligible Revenue, as defined by the current Ambassador Agreement and compensation schedule.

ZYNDIO does not guarantee any specific commission rate, customer volume, signup volume, recurring revenue, subscription retention, prescription outcome, bonus amount, or pool payout.

Commissions are calculated only on Commissionable Events that ZYNDIO determines are valid, tracked, eligible, lawful, and in good standing. Tracking may depend on referral links, cookies, dashboard attribution, customer records, transaction records, territory records, AdMesh™ logs, manual review, or other systems selected by ZYNDIO.

Commissions may be reduced, delayed, reversed, withheld, or charged back because of refunds, cancellations, returns, chargebacks, failed payments, fraud, disputed attribution, prohibited conduct, compliance violations, duplicate accounts, self-dealing, manipulation, identity issues, prohibited marketing, ineligible geography, legal restrictions, or other program rules.

Ambassadors are not paid merely for recruiting another ambassador. Compensation must be tied to Eligible Revenue, qualifying activity, approved bonus criteria, or other lawful program-defined reward bases. ZYNDIO may deny or reverse any payment that it determines creates legal, regulatory, healthcare, consumer-protection, or compensation-plan risk.

10. Bonus Pools Generally

Bonus Pools are variable reward categories. They may be funded from company-defined revenue, margin, profit, reserve allocations, promotional budgets, or other sources determined by ZYNDIO. ZYNDIO may publish estimated pool splits or target allocations, but those allocations are not guarantees.

A Bonus Pool may be capped, prorated, delayed, rolled over, reduced, cancelled, or reallocated if ZYNDIO determines that doing so is necessary or appropriate because of compliance concerns, budget limits, margin requirements, fraud review, tracking disputes, legal restrictions, technical issues, payment failures, or program changes.

Bonus Pool eligibility requires good standing. Good standing may include active account status, completed training, required disclosures, compliance with marketing rules, timely payment of any applicable subscription or program fees, valid tax documentation, acceptable content review, no prohibited claims, no unresolved fraud review, and no suspension or termination.

ZYNDIO may require ambassadors to complete additional certifications, submit content for review, maintain minimum customer activity, satisfy territory requirements, avoid prohibited marketing channels, or meet other published criteria before becoming eligible for any Bonus Pool.

11. Leaderboard Pool

The Leaderboard Pool is a performance-based reward category. Leaderboards may be calculated weekly, monthly, quarterly, annually, or on another cadence selected by ZYNDIO.

Leaderboard criteria may include eligible customer activity, compliant sales activity, retention, territory activity, content quality, challenge performance, Catalyst Events™, or other metrics published in the dashboard or official rules.

Leaderboard placement is not final until ZYNDIO completes review. ZYNDIO may remove, adjust, or recalculate leaderboard results for fraud, refunds, chargebacks, prohibited marketing, ineligible activity, manipulated traffic, duplicate accounts, tracking errors, compliance violations, or other program issues.

12. Pulse Pool™

Pulse Pool™ is ZYNDIO's branded activity-based reward pool or promotional reward category for qualified ambassadors.

Pulse Pool™ may be structured as an activity-based bonus, skill-based challenge, weighted recognition pool, random drawing, sweepstakes-style promotion, or other structure described in official Pulse Pool™ rules. The official Pulse Pool™ rules for the applicable promotion control eligibility, entry, odds, winner selection, prize value, tax reporting, timing, and restrictions.

If any Pulse Pool™ promotion uses chance, random selection, or drawing mechanics, ZYNDIO may provide official rules, eligibility restrictions, jurisdiction limits, a no-purchase alternate method of entry where required, and any other disclosures or procedures needed for lawful administration. Pulse Pool™ promotions are void where prohibited.

Payment of an enrollment fee, subscription fee, territory fee, or other amount does not guarantee Pulse Pool™ eligibility, selection, odds, or reward. ZYNDIO may disqualify participants for prohibited conduct, false information, duplicate entries, automated entries, manipulation, fraud, noncompliance, or any attempt to interfere with the promotion.

Ambassadors may not describe Pulse Pool™ as gambling, a raffle, a lottery, guaranteed money, passive income, a prize that can be purchased, or a reward that is available without satisfying the applicable rules.

13. Weekly Challenge Pool

The Weekly Challenge Pool is a rotating reward category for short-term missions, themed contests, content tasks, territory actions, compliance-safe engagement, local curation, community-building, or other program-defined activities.

Weekly challenges may include activity challenges, content challenges, education challenges, local signal challenges, retention challenges, leaderboard sprints, superhero-style challenges, “Badass of the Week” recognition, 5 F's themed challenges, or other ZYNDIO-approved missions.

Weekly Challenge Pool rewards are subject to the official challenge rules. ZYNDIO may judge entries, verify activity, reject noncompliant submissions, adjust awards, or cancel a challenge if necessary. Ambassador content must follow all advertising, healthcare, disclosure, intellectual-property, privacy, and brand rules.

14. Catalyst Rewards™

Catalyst Rewards™ is ZYNDIO's proprietary contribution and verified-lift reward layer. It is designed to recognize ambassadors who help improve the ZYNDIO network through qualifying actions, insights, curation, local signals, funnel suggestions, content improvements, conversion improvements, territory updates, or other contributions that ZYNDIO determines create measurable value.

A Catalyst Reward™ is not guaranteed merely because an ambassador submits an idea, completes an action, creates content, identifies an issue, recommends a change, or participates in curation. ZYNDIO determines whether a Catalyst Event™ occurred, whether the event created measurable value, whether the value can be attributed, whether the ambassador is eligible, and whether any reward is payable.

Catalyst Rewards™ may be based on factors such as:

• measurable lift in conversion rate, click-through rate, retention, engagement, territory quality, content quality, ad performance, customer experience, or other network metrics;
• attribution confidence;
• contribution share among multiple contributors;
• incremental profit, margin, or eligible value created;
• fraud and quality review;
• compliance status;
• originality and usefulness of the contribution;
• whether the contribution was solicited or unsolicited; and
• other program-defined factors.

ZYNDIO's logs, analytics, dashboards, attribution systems, AdMesh™ records, testing records, content records, AI-agent records, and business records may be used to determine Catalyst Rewards™ eligibility. ZYNDIO may use reasonable judgment where attribution is uncertain, shared, incomplete, or disputed.

By submitting ideas, content, local updates, suggestions, funnel improvements, curation, edits, territory information, data, or other materials, you grant ZYNDIO a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, publish, distribute, display, perform, create derivative works from, commercialize, and incorporate those materials into ZYNDIO products, sites, tools, training, advertising, AI systems, AdMesh™, and ambassador programs. Unless a Catalyst Reward™ is awarded under the applicable rules, you are not entitled to royalties, ownership, attribution, or additional compensation for submitted materials.

You represent that anything you submit is accurate to the best of your knowledge, does not infringe third-party rights, does not contain PHI unless expressly authorized through approved channels, does not contain confidential information you are not allowed to share, and complies with ZYNDIO's content and compliance rules.

15. Legacy Track™, Legacy Status™, and Legacy Reserve™

The ZYNDIO Legacy Track™ is ZYNDIO's five-year long-game reward path inside ZYNDIO Momentum Rewards™.

The field-safe description is: Build Five. Unlock Legacy.™

After five qualified years, an ambassador who satisfies all applicable requirements may unlock Legacy Status™ and become eligible for long-term rewards through the ZYNDIO Legacy Reserve™, subject to the official program terms.

Legacy Track™ qualification may include factors such as continued good standing, compliant promotion, eligible customer activity, territory activity, completed training, no unresolved compliance violations, no prohibited earnings claims, no prohibited medical claims, customer retention, contribution activity, or other program-defined requirements.

Legacy Status™ is not automatic. Completing five calendar years, five anniversary years, or any other time period does not guarantee Legacy Status™ unless all official requirements are satisfied.

The Legacy Reserve™ is not a retirement plan, pension, annuity, investment account, savings account, trust account, deferred compensation plan, security, insurance product, employee benefit plan, guaranteed income program, or “paid for life” program. Legacy Reserve™ rewards are variable, capped, subject to available pool funding, and governed by official program terms.

No ambassador has a vested property right, ownership interest, account balance, trust interest, security interest, fiduciary right, or guaranteed payment right in the Legacy Reserve™. Legacy Reserve™ eligibility, formulas, caps, funding, cadence, and payout rules may be changed, paused, prorated, discontinued, or restricted by ZYNDIO.

Legacy Status™ and Legacy Reserve™ eligibility are personal to the approved ambassador and may not be sold, assigned, transferred, pledged, inherited, willed, or encumbered unless ZYNDIO expressly permits transfer in a written program document.

Ambassadors may not market the Legacy Track™ as a retirement plan, pension, annuity, investment, security, guaranteed income stream, passive income forever, paid for life, quit-your-job plan, or promise of financial freedom. Ambassadors may not say “retire in five years.” Approved phrases include “Build Five. Unlock Legacy.™,” “Weekly wins. Long-game rewards,” “Legacy Status™,” “Legacy Track™,” and “Legacy Reserve™ rewards.”

16. Territories, Authority Sites, Geo Signals, and Digital Real Estate Language

ZYNDIO may provide ambassadors with territory tools, geo-signal pages, authority-site access, local curation tools, zip-code designations, vertical designations, keyword designations, dashboards, AI-generated content, local-content tasks, AdMesh™ placement opportunities, or other digital assets.

Territories and digital assets are program rights only. They are not real property, deeded property, intellectual-property assignments, franchises, securities, investments, business opportunities with guaranteed returns, or ownership interests in ZYNDIO, any website, any domain, any ad account, any AI agent, any keyword, any zip code, any customer list, or any traffic source.

Active paid territory claims are intended to provide real territorial exclusivity for the territory scope shown in the dashboard, Ambassador Agreement, or other official program record. While your claim is active and you remain in good standing, ZYNDIO will not knowingly sell, assign, or approve the same exclusive zip-code, market, vertical, keyword, geo-signal, or other defined territory scope to another ambassador. Eligible tracked activity tied to that scope will be attributed according to the published program rules, dashboard attribution records, and applicable compliance requirements.

Territory exclusivity is a claim to the defined ambassador territory scope, not a guarantee of market outcome. Territory access does not guarantee traffic, rankings, conversions, customers, commissions, prescription outcomes, local dominance, SEO performance, ad performance, recurring revenue, income, profit, or cost recovery.

ZYNDIO may pause, restrict, revoke, release, reassign, subdivide, combine, or otherwise modify a territory, authority site, geo-signal page, AdMesh™ placement, or related tool only for cause or operational necessity, including nonpayment of monthly territory dues, subscription fees, or other required program fees; failure to cure a payment delinquency within 90 days after the missed due date or dashboard/email notice; inactivity or failure to meet published territory-maintenance requirements; chargebacks or payment disputes; fraud, manipulated traffic, prohibited marketing, compliance breach, healthcare or legal risk, or misuse of ZYNDIO systems; correction of boundary, data, duplicate-claim, attribution, or technical errors; legal, regulatory, platform, advertising, pharmacy, provider, or payment-processor requirements; or a program-wide restructuring, discontinuation, or replacement of the territory product.

If ZYNDIO needs to adjust an active, paid, good-standing territory for a reason other than ambassador breach, fraud, nonpayment, or urgent legal/compliance risk, ZYNDIO will use commercially reasonable efforts to preserve materially comparable exclusive territory value, provide advance dashboard or email notice where practical, or offer a substitute territory, credit, or other commercially reasonable remedy as described in the dashboard, Ambassador Agreement, or applicable program rules.

Ambassadors may use approved territory and digital-real-estate language only in the way ZYNDIO authorizes. Ambassadors may not tell prospects that they are buying land, buying a website, buying a guaranteed asset, buying passive income, buying permanent or unconditional exclusivity, buying a franchise, or buying an investment.

17. AdMesh™ and Company-Managed Advertising

ZYNDIO may operate AdMesh™, internal advertising systems, site networks, tracking systems, placement systems, global campaigns, territory filtering, content-distribution systems, and attribution logic.

Unless ZYNDIO gives written approval, ambassadors may not control ZYNDIO ad accounts, impersonate ZYNDIO in ads, make unapproved paid-ad claims, use ZYNDIO trademarks in search advertising, bid on restricted terms, run ads that imply clinical guarantees, or create paid campaigns that conflict with ZYNDIO compliance controls.

AdMesh™ attribution is determined by ZYNDIO's tracking systems and business records. Attribution can be affected by technical limits, privacy settings, cookie expiration, user behavior, refunds, chargebacks, duplicate records, fraud review, territory conflicts, customer location, product availability, and compliance filters.

No ambassador is guaranteed AdMesh™ traffic, ad placement, click volume, conversion volume, territory clicks, ranking position, customer activity, or commissionable revenue.

18. AI Agents, Local Curation, and Content Quality

ZYNDIO may use AI agents, automation, editorial workflows, analytics, human review, and ambassador curation to create, improve, monitor, and distribute content.

AI-generated content can be incomplete, outdated, inaccurate, or inappropriate. Ambassadors must not rely on AI outputs as medical, legal, tax, financial, compliance, or professional advice. Ambassadors must not publish, approve, distribute, or reuse AI-generated content that contains unapproved medical claims, unapproved earnings claims, privacy issues, copyright issues, or inaccurate local information.

Ambassadors may be asked to provide local flavor, local context, community information, curation, taste, style, corrections, improvement ideas, and other inputs. ZYNDIO may use those inputs for content, SEO, geo signals, advertising, training, product development, funnel improvement, and Catalyst Rewards™ evaluation.

ZYNDIO may remove, edit, rewrite, suppress, or reject any ambassador-submitted or AI-generated content for quality, compliance, brand, legal, medical, or operational reasons.

19. FTC Disclosures, Endorsements, and Ambassador Marketing Conduct

Every public promotion of ZYNDIO must clearly and conspicuously disclose your material connection to ZYNDIO. This includes posts, videos, podcasts, livestreams, stories, comments, emails, newsletters, blog posts, paid ads, direct messages where permitted, landing pages, webinars, trainings, screenshots, testimonials, and any other content where you mention ZYNDIO, your referral link, ZYNDIO Momentum Rewards™, or the ambassador opportunity.

At minimum, an ambassador promotion must clearly tell the audience that you may receive compensation, commissions, rewards, or other benefits when someone signs up, purchases, subscribes, or participates through your link or as a result of your promotion. Disclosures must be hard to miss, understandable, and placed before or with the endorsement. Disclosures may not be hidden in a profile bio, buried in a footer, placed only on a separate page, covered by a “more” link, contradicted by other claims, or delayed until after the promotional claim.

Ambassadors may not:

• make false, misleading, exaggerated, or unsubstantiated claims;
• make unapproved health, medical, prescription, diagnosis, treatment, safety, efficacy, or outcome claims;
• make earnings projections, lifestyle claims, hypothetical income examples, or implied guarantees unless ZYNDIO has approved the exact claim and required disclosure;
• use “retirement plan” language for the Legacy Track™;
• promise passive income, financial freedom, quit-your-job income, paid-for-life income, guaranteed customer flow, guaranteed territory revenue, or guaranteed commissions;
• imply that ZYNDIO is appropriate for every person;
• imply that a clinician will prescribe or approve a medication;
• pressure, mislead, or exploit consumers;
• use fake testimonials, fake screenshots, fake reviews, fake rankings, fake urgency, fake scarcity, or fake social proof;
• hide costs, subscriptions, eligibility requirements, refund limits, or geographic restrictions;
• use unapproved before-and-after content, patient stories, or medical results;
• use spam, unlawful texting, robocalls, scraping, purchased leads, deceptive lead forms, or noncompliant email marketing; or
• make any claim that ZYNDIO has instructed ambassadors not to make.

ZYNDIO may require content pre-approval, remove content, demand takedowns, suspend links, withhold payments, reverse commissions, or terminate ambassador status for noncompliant marketing.

20. Earnings Claims, Income Disclosures, and Opportunity Claims

Ambassadors may not make earnings claims unless the claim is truthful, not misleading, substantiated, approved by ZYNDIO, and accompanied by required disclosures.

An earnings claim includes any statement, image, example, testimonial, lifestyle claim, calculator, hypothetical, screenshot, ranking, story, emoji sequence, chart, training, or implication that suggests a person can or is likely to earn money, earn a specific amount, recover costs, create passive income, quit a job, replace income, build wealth, retire, obtain financial freedom, or achieve a particular financial result through ZYNDIO.

Examples of restricted earnings claims include:

• “I made $X this week”;
• “You can earn $X per month”;
• “This pays for itself”;
• “Replace your income”;
• “Quit your job”;
• “Passive income forever”;
• “Retire in five years”;
• “Paid for life”;
• “Guaranteed commissions”;
• “Your territory will print money”;
• “Everybody can win”; and
• any similar statement or implication.

If ZYNDIO publishes an Income Disclosure Statement or approved earnings disclosure, ambassadors must use it as instructed. Ambassadors may not modify, crop, hide, minimize, or contradict required earnings disclosures.

You should assume that your results will vary. Participation involves costs, including any applicable enrollment fee, subscription fee, business expenses, marketing expenses, time, tools, taxes, and other costs. There is no guarantee that you will recover your costs.

21. Healthcare Fraud, Abuse, and Referral Compliance

Because ZYNDIO is connected to telehealth-related offerings, ambassador compensation must be structured and administered in a compliance-first manner.

Ambassadors may not offer, pay, solicit, receive, or facilitate anything of value to induce or reward referrals, orders, prescriptions, purchases, leases, recommendations, or arrangements involving items or services reimbursable by any Federal health care program, unless ZYNDIO has expressly approved the arrangement in writing after legal review.

Ambassadors may not target, solicit, or compensate Medicare, Medicaid, TRICARE, CHAMPVA, VA, CHIP, or other Federal health care program beneficiaries in a way that would create healthcare fraud, abuse, anti-kickback, beneficiary-inducement, false-claims, state-law, or payer-contract risk.

Ambassadors may not compensate clinicians, pharmacies, healthcare providers, marketers, call centers, brokers, influencers, patient recruiters, lead generators, or other persons for prescription volume, order volume, patient referrals, medical decisions, provider approvals, insurance claims, federally reimbursable items, or healthcare-program business.

Ambassadors may not influence, pressure, direct, or attempt to influence any clinician's medical judgment, prescription decision, treatment decision, patient interaction, documentation, medical-necessity determination, or follow-up decision.

Ambassadors must disclose to ZYNDIO if they are licensed healthcare professionals, work for a healthcare provider, work for a pharmacy, work for a payer, work for a government healthcare program, are excluded from any government healthcare program, or have any relationship that may create healthcare-compliance concerns. ZYNDIO may restrict or prohibit participation based on that information.

ZYNDIO may exclude from Eligible Revenue any transaction, customer, patient, order, prescription, payer source, claim, or activity that ZYNDIO determines could create healthcare fraud, abuse, anti-kickback, privacy, consumer-protection, payer, state-law, or regulatory risk.

22. Geographic Availability and Program Limits

The ZYNDIO Ambassador Network may be limited to adult residents of the United States or other approved jurisdictions. ZYNDIO may limit, pause, or restrict availability by state, territory, product, service, payer source, customer type, ambassador type, or regulatory environment.

Ambassadors must not direct prospective customers to ZYNDIO from states, territories, countries, age groups, or customer categories where the relevant ZYNDIO offering is not available or where ZYNDIO has instructed ambassadors not to promote.

ZYNDIO may decline, restrict, delay, or revoke ambassador status or payment eligibility when required by law, regulatory compliance review, fraud review, identity verification, age verification, geography, product availability, healthcare compliance, or other operational considerations.

23. Payments, Payout Timing, Taxes, and Records

Payment timing, minimum payout thresholds, payout methods, tax forms, payment holds, reserve rules, and payout cadence are governed by the Ambassador Agreement, dashboard rules, payment processor rules, and current compensation schedule.

ZYNDIO may require a completed Form W-9, Form W-8, taxpayer identification number, identity verification, entity verification, payment-account verification, sanctions screening, exclusion screening, or other documentation before making payments.

You are responsible for all taxes, reporting, filings, deductions, fees, costs, and expenses associated with your ambassador activity and any payments or rewards you receive. ZYNDIO may issue tax forms where required by law.

ZYNDIO may withhold, offset, reverse, or claw back payments for refunds, chargebacks, cancellations, returned payments, fraud, compliance violations, customer disputes, tracking errors, tax-documentation issues, payment-processor issues, legal restrictions, or amounts owed by you to ZYNDIO.

Dashboard balances, estimates, pending commissions, projected rewards, pool estimates, calculators, leaderboard rankings, Catalyst Rewards™ estimates, and Legacy Reserve™ estimates are preliminary until finalized and paid.

24. Fees, Subscriptions, Refunds, and Active Status

Ambassador participation may require an enrollment fee, subscription fee, territory fee, software fee, product subscription, or other program-related payment, as disclosed at signup, in the Ambassador Agreement, or in the dashboard.

Fees and subscriptions do not guarantee approval, territory performance, customers, commissions, bonus eligibility, Pulse Pool™ selection, Catalyst Rewards™, Legacy Status™, Legacy Reserve™ payments, income, profit, or cost recovery.

Refund rights, cancellation rights, subscription changes, billing terms, and chargeback rules are governed by the applicable checkout terms, subscription terms, Ambassador Agreement, and refund policy. Chargebacks or payment disputes may result in account review, suspension, termination, loss of good-standing status, or reversal of commissions and rewards.

25. Training, Monitoring, and Compliance Review

ZYNDIO may require ambassadors to complete onboarding, compliance training, marketing training, healthcare-compliance training, disclosure training, product education, content review, or periodic recertification.

ZYNDIO may monitor public ambassador content, links, traffic, ads, landing pages, emails, social media, webinars, trainings, Discord or community posts, and other promotional activity for compliance. ZYNDIO may also use automated tools, manual review, third-party tools, reports, complaints, or customer feedback.

You agree to cooperate with compliance reviews, provide requested information, remove or correct noncompliant content, stop prohibited activity, and follow ZYNDIO instructions promptly.

Failure to comply may result in warning, link suspension, content takedown, payment hold, commission reversal, bonus disqualification, territory restriction, Legacy Track™ disqualification, account suspension, termination, or legal action.

26. Acceptable Use

You agree to use the site, dashboard, referral links, brand assets, territory tools, and ZYNDIO systems only for lawful, authorized, and compliant purposes.

You must not:

• submit false, misleading, fraudulent, incomplete, or outdated information;
• create duplicate accounts or manipulate referral tracking;
• use bots, scripts, fake traffic, cookie stuffing, forced clicks, fake leads, fake customers, self-referrals, or other manipulation;
• scrape, reverse engineer, mirror, frame, copy, or misuse site content, code, dashboards, APIs, tracking systems, AI systems, or data;
• access systems, accounts, data, or materials that do not belong to you;
• interfere with site security, authentication, payment flows, tracking, attribution, content systems, or operations;
• harass, impersonate, threaten, spam, or mislead any person;
• use ZYNDIO systems to collect PHI or sensitive data;
• use unapproved medical, earnings, investment, or retirement language;
• violate FTC, FDA, HIPAA, healthcare, consumer-protection, privacy, advertising, telemarketing, email, text-message, intellectual-property, or other applicable rules;
• promote ZYNDIO using unlawful or deceptive ads, texts, calls, emails, lead forms, or social media tactics; or
• engage in conduct that could harm ZYNDIO, patients, customers, ambassadors, providers, pharmacies, service providers, or the public.

27. Intellectual Property and Brand Assets

The ZYNDIO name, logos, marks, product names, service names, site design, text, graphics, layouts, media, software, tools, dashboards, content systems, AI workflows, training materials, compensation materials, ZYNDIO Momentum Rewards™, Pulse Pool™, Catalyst Rewards™, Legacy Track™, Legacy Status™, Legacy Reserve™, AdMesh™, and related materials are owned by ZYNDIO or its licensors and are protected by intellectual-property and unfair-competition laws.

Approved ambassadors receive only a limited, revocable, non-exclusive, non-transferable license to use specific ZYNDIO brand assets and approved content for authorized ambassador promotion during active good-standing status.

You may not register, purchase, use, or attempt to claim ownership of any domain, social handle, ad account, trademark, business name, product name, company name, keyword, or digital asset that includes ZYNDIO or confusingly similar marks without written approval.

You may not alter ZYNDIO brand assets, imply endorsement beyond your approved ambassador role, use brand assets after termination, or use brand assets in unapproved medical claims, earnings claims, paid ads, domain names, merchandise, or third-party materials.

28. Third-Party Services and Links

The ZYNDIO Ambassador Network may use third-party providers for infrastructure, analytics, AI tools, messaging, hosting, advertising, payment processing, identity verification, tax documentation, fraud prevention, customer support, communications, and other services.

Your use of third-party services may be subject to separate terms, privacy policies, fees, and rules. ZYNDIO is not responsible for third-party websites, tools, services, or content that it does not control.

29. Suspension and Termination

ZYNDIO may suspend, limit, or terminate site access, dashboard access, referral links, tracking, territory access, AdMesh™ eligibility, Bonus Pool eligibility, Catalyst Rewards™ eligibility, Legacy Track™ eligibility, payment eligibility, or ambassador status if ZYNDIO believes you violated these Terms, violated the Ambassador Agreement, created compliance risk, created healthcare risk, created consumer-protection risk, provided false information, engaged in fraud, misused ZYNDIO systems, made prohibited claims, mishandled sensitive information, interfered with operations, or acted in a way that could harm ZYNDIO, its service providers, ambassadors, customers, patients, or the public.

Termination or suspension may result in loss of pending commissions, Bonus Pool eligibility, Pulse Pool™ eligibility, Catalyst Rewards™ eligibility, Legacy Track™ progress, Legacy Status™, Legacy Reserve™ eligibility, territory access, dashboard access, and brand-asset rights, to the extent permitted by applicable law and the Ambassador Agreement.

Termination or suspension does not affect rights and obligations that by their nature should survive, including disclosure obligations for previously published content, content takedown obligations, intellectual-property rights, payment offsets and clawbacks, confidentiality obligations, privacy obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.

30. Disclaimers

The site, dashboard, referral tools, tracking tools, territories, authority sites, geo-signal pages, AdMesh™, AI agents, content, training, analytics, calculators, estimates, and ZYNDIO Momentum Rewards™ materials are provided on an “as is” and “as available” basis to the maximum extent permitted by law.

ZYNDIO does not guarantee uninterrupted availability, error-free operation, perfect accuracy, uninterrupted tracking, perfect attribution, search rankings, ad performance, traffic, conversion rates, customer retention, pool funding, payout timing, income, profit, territory performance, Catalyst Rewards™, Legacy Status™, Legacy Reserve™ payments, or any particular business result.

ZYNDIO disclaims, to the extent permitted by law, warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, data accuracy, availability, and compliance with your particular business needs.

Nothing on the ambassador site is medical, legal, tax, financial, investment, retirement, or professional advice.

31. Limitation of Liability

To the fullest extent permitted by law, ZYNDIO and its affiliates, licensors, service providers, officers, employees, contractors, clinicians, pharmacies, vendors, and agents will not be liable for indirect, incidental, consequential, special, exemplary, punitive, lost-profit, lost-revenue, lost-data, lost-goodwill, lost-opportunity, business-interruption, or reputational damages arising from or related to your use of the site, dashboard, program, territories, AdMesh™, ZYNDIO Momentum Rewards™, or ambassador participation.

To the fullest extent permitted by law, any direct liability arising from or related to the site, program, or ambassador participation will be limited to the lesser of (a) the commissions actually paid to you under the Ambassador Agreement during the three months preceding the event giving rise to the claim, or (b) one hundred dollars.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

32. Indemnification

You agree to defend, indemnify, and hold harmless ZYNDIO and its affiliates, licensors, service providers, officers, employees, contractors, clinicians, pharmacies, vendors, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• your misuse of the site, dashboard, referral links, territories, AdMesh™, AI tools, or brand assets;
• your violation of these Terms or the Ambassador Agreement;
• your promotional content, claims, ads, emails, texts, calls, social posts, landing pages, webinars, trainings, or communications;
• your violation of FTC, FDA, HIPAA, healthcare, privacy, telemarketing, email, text-message, consumer-protection, intellectual-property, tax, or other laws;
• your unauthorized medical, health, earnings, investment, retirement, or opportunity claims;
• your handling of PHI or sensitive information;
• your fraud, misrepresentation, negligence, or willful misconduct;
• your infringement or alleged infringement of third-party rights; or
• your dispute with any customer, prospect, ambassador, platform, vendor, or third party.

33. Governing Law and Disputes

These Terms are governed by the laws that apply to the operation of the platform and the business behind ZYNDIO, without regard to conflict-of-law rules.

If a dispute arises, the parties will first try to resolve it informally in good faith. If you have a dispute or concern, contact ambassadors@zyndio.com with enough detail for ZYNDIO to evaluate the issue. Before starting formal proceedings, both sides agree to try to resolve the matter informally for a reasonable period after notice is provided.

Any claim that cannot be resolved informally must be brought in a court of competent jurisdiction unless applicable law or a separate written agreement requires otherwise.

34. Changes to the Site, Program, or Terms

ZYNDIO may modify, suspend, or discontinue any part of the site, dashboard, ambassador program, compensation schedule, territory system, AdMesh™, Bonus Pools, Pulse Pool™, Catalyst Rewards™, Legacy Track™, Legacy Reserve™, or ZYNDIO Momentum Rewards™ at any time.

ZYNDIO may update these Terms from time to time. When ZYNDIO posts an updated version, the revised version will apply after it is posted unless ZYNDIO states otherwise.

Your continued use of the site, dashboard, referral links, territory tools, or continued participation in the ambassador program after revised Terms are posted means you accept the updated Terms.
